Does D&O insurance protect a director from trade secret related lawsuit?
Hi - One of the director and officer of our company has signed an NDA (non-disclosure) & a PIA (Proprietary Invention) agreements with his previous employer (she was a director/officer at that company too). She will be working on similar stuff at our company. She is obviously not planning on using any trade-secrets she was privy too :-). That said if she or our company is sued by her former employer for trade secret violations, can the 1. D&O insurance cover the legal costs involved in defending a lawsuit involving the new director? 2. We don't have any D&O coverage right now, what kind of coverage should we ask for to deal with any legal issues that may come up with the new director on board? 3. How does the D&O insurance work - what percentage of legal costs are covered? How do you typically file a claim? I am not concerned with her PRIOR ACTS just to clarify only her ACTS in our current company that may invite a lawsuit from her previous employer. For example unknowingly using a business process in our company which her former employer may claim as a trade-secret.

Does anyone no any good websites for diets? Personalised ones? That ARE free?

To my knowledge there are none but I can tell you that I have been doing fad diets for what seems like forever and the things that work the best for me and most women I talk to are the following ..Stop drinking soda replace it with water, exercise for 30min at least 4 times a week even if its just walking its something, smaller portions they should be no bigger than your fist (it's hard to do at first but it really does work), EAT BREAKFAST this one is very important I eat a high fiber breakfast everyday it really helps you get threw the day without snacking, Don't eat after 7pm, and the thing that I have found works the best if you are having a craving for lets say chocolate then have a small piece of it for example if I get a craving for it I will eat a snack size candy bar and that does it for me. Self control plays a big roll in dieting if you truly want to lose the weight and keep it off then you will. And the biggest rule I follow is Don't eat out of a bag meaning NO fast food and I have to remind myself that I didn't gain this weight in a day I am not going to lose it in a day. Good Luck!
